Job Responsibilities:

  • Handling Secretarial, Compliance and Legal Matters.
  • Convening and servicing annual general meetings (AGMs)/meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondence and so on) and follow as per Shareholder Agreement.
  • Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation. Ensuring that policies are up to date and are approved.
  • Providing support to the board or other committees on specific projects
  • Implementing processes or systems to help ensure good management of the organisation or compliance with legislation.

Writing reports

Collating information

Companies Act:

  • Preparation of Director's Report, Notice of Annual General Meeting/Extra-Ordinary General Meeting under the Companies Act 2013.
  • Pre and Post AGM Compliances.
  • Preparing, Maintaining and critically verifying the Minutes of the Board and General Meetings.
  • Alteration of authorized share capital the Company.
  • Secretarial Compliances like annual filings, event-based filings for allotment of shares, change in designation of the director, Extension of Annual General Meeting, change in registered office, name change of the Company etc.
  • Facilitating health checks of Companies by taking MCA search of companies and converting XML file into PDF.
  • Maintenance of Statutory Registers under Companies Act, 2013.
  • Converted physical shares of the company into Demat form.
  • Updated KYC of the directors by filing DIR 3-KYC on MCA portal.

Legal

  • Reviewing NDA(s)
  • Vetting various agreement(s) like Vendor Agreements, Admin Agreements etc.

Finance

  • Employees and Vendors Bill accounting and Payment -Verification and Accounting Claims and Invoices.
  • International Claims Accounting - Verification and Accounting Claims.
  • Payment Uploads -Downloading files, Verification and Uploading payment on bank's portal.
  • Wire Transfer Payments:
  • Coordinating and obtaining Form 15CB from CA.
  • Preparing Form 15CA and uploading the payment on bank's portal.
