Job Description
Position Summary
We are looking for an experienced and qualified Company Secretary to independently manage the
Secretarial and Corporate Compliance function of Samsung SDS India Private Limited. The role will be
responsible for ensuring compliance with the Companies Act, 2013, Secretarial Standards, FEMA, RBI
regulations and other applicable corporate laws, while providing end-to-end support on Board
governance, statutory filings, corporate records and regulatory matters.
The ideal candidate should possess strong knowledge of corporate secretarial practices, governance,
regulatory compliance and FEMA requirements applicable to a foreign-owned private limited company.
Key Responsibilities
1. Secretarial & Corporate Governance
Ensure compliance with the Companies Act, 2013, applicable Rules and Secretarial Standards.
Plan, coordinate and manage Board Meetings, Committee Meetings and Shareholders' Meetings.
Prepare and finalize notices, agenda papers, board notes, resolutions and minutes.
Maintain statutory registers, records, minute books and other corporate records.
Ensure timely completion of annual and event-based secretarial compliances.
Advise management on corporate governance and secretarial matters.
2. MCA Compliances
Manage all filings with the Registrar of Companies (ROC) through the MCA portal.
Prepare and file annual returns, financial statements and other statutory forms.
Manage Director Identification Number (DIN), Digital Signature Certificates (DSC) and other MCA-
related compliances.
Coordinate with Practicing Company Secretaries for certifications, secretarial audits and statutory filings.
3. FEMA & Regulatory Compliances
Ensure compliance with applicable FEMA and RBI regulations relating to foreign investment and
corporate transactions.
Coordinate and manage FEMA-related filings, reporting requirements and regulatory submissions,
wherever applicable.
Liaise with Authorized Dealer Banks, external consultants and regulatory authorities in relation to FEMA
compliances.
Monitor regulatory developments under FEMA and advise internal stakeholders on applicable compliance
requirements.

Coordinate with Directors, Shareholders, Statutory Auditors, Secretarial Auditors, external consultants,
banks and regulatory authorities.
Act as the primary point of contact for corporate secretarial and governance-related matters.
Qualifications
Qualified Company Secretary (Member of the Institute of Company Secretaries of India – ICSI).
LL.B. qualification will be an added advantage.
Experience
8–10 years of post-qualification experience in Corporate Secretarial and Compliance functions.
Experience in a multinational company (MNC) or foreign-owned subsidiary will be preferred.
Hands-on experience in handling ROC compliances, Board governance, FEMA-related compliances and
corporate secretarial matters.
Required Skills
Strong knowledge of the Companies Act, 2013, Secretarial Standards, FEMA and RBI regulations.
Hands-on experience with MCA portal and corporate secretarial filings.
Excellent drafting skills for Board documents, resolutions and corporate records.
Strong understanding of corporate governance and regulatory compliance.
Excellent analytical, communication and stakeholder management skills.
Ability to independently manage multiple statutory compliances and regulatory timelines.
High level of integrity, confidentiality and attention to detail.
Preferred Experience
Experience in handling secretarial compliances for a foreign-owned private limited company.
Exposure to cross-border corporate transactions and regulatory compliance.
Experience in coordinating with external consultants, auditors and regulatory authorities.
Familiarity with compliance management systems and digital governance platforms.
