Job Description
· Managing all corporate secretarial matters; i.e. conduct of Board Meetings/ Annual General Meetings (AGMs), drafting Agendas, Minutes, Directors Report and filing of various Returns
· Ensuring compliance of the provisions of Companies Law and rules made there-under and other statutes and bye-laws of the company
· Attending the broad meetings in order to ensure that the legal requirements are fulfilled, and provide such information as are necessary
· Providing legal, financial and/or strategic advice during and outside of meetings
· Issuing notice & agenda of board meetings to director of the company
· Training directors and members of the senior leadership team on corporate governance matters
· Keeping up to date with any regulatory or statutory changes and policies that might affect the organization
· In public companies, acting as a point of contact and building good relationships with shareholders
· Finalizing terms & conditions of contracts and agreements related to immovable properties, registration & approvals
