Job Description
Job Summary
We are looking for a highly motivated and detail-oriented Executive Trainee to join our Corporate Legal and Regulatory Services team. This role provides comprehensive exposure to a wide spectrum of corporate legal functions, including Incorporation & Conversion Services, Legal Drafting, Mergers & Acquisitions (M&A), Business Restructuring, Trademark & Intellectual Property Services, and compliance under FEMA, RBI, and allied regulatory frameworks.
The Executive Trainee will work closely with experienced professionals in handling legal documentation, regulatory filings, corporate governance activities, and secretarial support in line with the Companies Act, FEMA, SEBI, RBI guidelines, and other statutory requirements. The position offers structured mentorship and career progression for candidates with a background in Law, Company Secretaryship, or Commerce who aspire to grow in the field of corporate law and compliance.
Key Responsibilities
1. Incorporation & Conversion Services
-
Assist in the incorporation of private, public, and Section 8 companies, LLPs, and other business structures.

Draft and prepare incorporation documents, including MOA, AOA, board resolutions, declarations, and forms (SPICe+, RUN, etc.).

Facilitate conversion of business entities (e.g., LLP to Company, Private to Public Company, etc.) and ensure timely filing with MCA (Ministry of Corporate Affairs).

Liaise with stakeholders to ensure accurate documentation and adherence to timelines.
2. Legal Drafting
-
Support in drafting a wide range of legal documents, including shareholder agreements, partnership deeds, board and general meeting resolutions, NDAs, POAs, MOU, and service agreements.

Review standard legal formats and tailor them to suit specific business requirements.

Assist in preparing legal opinions and memos under the supervision of senior legal personnel.
3. Mergers, Acquisitions & Business Restructuring

Contribute to due diligence processes during mergers, acquisitions, and demergers.

Prepare scheme documents, board resolutions, notices, and other paperwork involved in corporate restructuring.

Coordinate with auditors, valuers, and legal advisors to compile necessary reports.

Assist in the filing of NCLT documents, ROC forms, and liaising with regulatory authorities for approvals.
4. Trademark & Intellectual Property Services

Help in filing and tracking trademark applications and handling objections or oppositions as per IP laws.

Prepare supporting documentation for trademark search, registration, and renewal.

Maintain a trademark register and coordinate with external counsel for litigation and dispute matters.
5. FEMA, RBI, and Allied Regulatory Compliance
-
Assist in compliance with FEMA guidelines, including reporting of foreign direct investment (FDI), external commercial borrowings (ECB), and ODI transactions.

Support in preparing and filing forms such as FC-GPR, FC-TRS, and others with RBI through FIRMS and AD banks.

Track deadlines and ensure timely reporting of cross-border transactions.
6. Corporate Law & Secretarial Practice

Support the Company Secretary in conducting board and general meetings, drafting notices, agendas, minutes, and maintaining statutory registers.

Ensure timely filing of statutory forms with the Registrar of Companies (ROC) – MGT-7, AOC-4, DIR-12, PAS-3, etc.

Maintain compliance calendars and keep track of corporate deadlines.

Help ensure adherence to the Companies Act, SEBI regulations, and other applicable laws.
