Job Description
Principal Tasks & Responsibilities
Major Purpose of the Job:
Implementation of well-defined standardized compliance processes and end-to-end compliance with respect to all laws and regulations.
Ensure that the Company complies with the highest standards of Corporate Governance.
Principal Tasks and Responsibilities:
Ensure compliance with the provisions of the Companies Act and rules made thereunder for the Company, its subsidiaries (including foreign), and affiliates.
Act as a Compliance Officer, handling matters relating to company affairs.
Maintain statutory records and registers of the Company and its subsidiaries.
Attend Board, Committee, and General Meetings of the Company; prepare and circulate agendas and minutes in a timely manner; follow up on action points to ensure legal compliance.
Coordinate with various departments of the Company, group companies, subsidiaries, associate companies, registered and unregistered trusts to ensure smooth functioning of secretarial compliance.
Ensure legal compliance across all factories, units of the Company, and its subsidiaries.
Support legal matters and drafting of JV agreements.
Carry out all filings with various authorities in a timely manner.
Facilitate the formation of companies in foreign territories and coordinate for their compliance.
Handle issues related to mergers and acquisitions, including filing schemes.
Coordinate with consultants for secretarial and statutory audits and provide required data for quarterly, half-yearly, and annual compliances.
Perform any other duties as assigned by the Reporting Officer from time to time.
